What is the ONCA transition?

As of October 2021, Ontario replaced Part III of the Ontario Corporations Act (OCA) with the Ontario Not-for-Profit Corporations Act (ONCA).

As a result of this new legislation, all not-for-profits incorporated under the OCA must transition to the ONCA.

What does this mean for your organization?

As of October 19, 2024, any provisions in an Ontario not-for-profit corporation's governing documents (e.g., Letters Patent, By-laws, Special Resolutions) that do not conform with the ONCA are automatically deemed to have been amended to bring them into compliance.

The problem? If you have not already amended your governing documents to comply with ONCA, you are at risk of non-compliance.
