ONCA TRANSITION

Outsiders provides 4 services to help organizations transition

to the Ontario Not-For-Profit Corporations Act (ONCA)
before the October 19, 2024 deadline.

What is the ONCA transition?

As of October 2021, Ontario replaced Part III of the Ontario Corporations Act (OCA) with the Ontario Not-for-Profit Corporations Act (ONCA).

 

As a result of this new legislation, all not-for-profits incorporated under the OCA must transition to the ONCA.

What does this mean for your organization?

All not-for-profit corporations incorporated in Ontario must transition to the Ontario Not-for-Profit Corporations Act (ONCA) by October 19, 2024.

At a minimum, your organization likely requires changes to its letters patent and its bylaws.

Our Services

We offer four levels of service for the ONCA transition.

ONCA Review

  1. We review your governing documents and minute book for compliance with ONCA.

  2. We provide a diagnostic report with required and recommended changes.

​

Our fee for a review is $750 plus taxes.

ONCA Transition for a Non-Profit

  1. We transition your not-for-profit corporation to ONCA by amending its articles and preparing amendments to its bylaws.

  2. We review your minute book and ensure you understand your ongoing ONCA compliance obligations.

​

Our fee for transition of a non-profit is $3,000 plus taxes and filing fees.

ONCA Transition for a Charity

  1. Transition your not-for-profit corporation to ONCA  by amending its articles, preparing amendments to its bylaws, and submitting the requisite notices of change to the Canada Revenue Agency's Charities Directorate

  2. We review your minute book and ensure you understand your ongoing ONCA compliance obligations.
     

Our fee for transition of a charity is $4,000 plus taxes and filing fees.

ONCA Transition + Governance, Compliance, and/or Reorganization 

  1. We review your organization’s existing governance processes, record keeping, and corporate structure.  

  2. We work with you to identify issues and make recommendations for improvements.  

  3. We prepare and implement changes to your organization. 

  4. We transition your not-for-profit corporation to ONCA by amending its articles, preparing amendments to its bylaws, and submitting the requisite notices of change to the Canada Revenue Agency's Charities Directorate (if necessary)

  5. We review your minute book and ensure you understand your ongoing ONCA compliance obligations.

Our fee for this service starts at $4,000 and is subject to additional fees depending on your organization's needs.
